REFUND & PAYMENT POLICY

BlackGuard™ OS — Governance Infrastructure

This Refund & Payment Policy governs financial transactions associated with licensed BlackGuard™ OS installations.

1. Payment Terms

All BlackGuard™ OS installations are delivered under controlled license.

Payment in full is required prior to scheduling and delivery unless otherwise stated in a signed written agreement.

All payments are processed electronically.

No work, preparation, or scheduling obligations arise until payment is received.

2. Deposits (If Applicable)

Where a deposit structure is expressly offered in writing:

Deposits reserve installation capacity and preparation resources.

Deposits become non-refundable once an installation date is confirmed.

Deposits are refundable only if BlackGuard LLC cancels the engagement prior to delivery.

3. Nature of Delivery

BlackGuard™ OS installations include structured governance deployment, which may include:

Governance framework configuration
Documentation architecture
Authority mapping and capital allocation structure
Intellectual property capture systems
Structured implementation session(s)

Delivery provides access to proprietary governance systems and protected intellectual property.

4. Refund Eligibility

A refund may be issued only if:

BlackGuard LLC fails to deliver the agreed installation scope as defined in the written agreement; or
A material breach of the written agreement is established.

Refund requests must be submitted in writing within seven (7) calendar days of the scheduled installation date.

Verification of scope failure or breach will be determined against the executed agreement and documented session records.

5. No Refund After Delivery

No refunds will be issued once any of the following has occurred:

An installation session has taken place;
Documentation or governance materials have been delivered;
Access to proprietary materials has been granted; or
Governance architecture has been deployed in whole or in part.

Because intellectual property exposure cannot be reversed, completed installations are final and non-refundable.

6. Cancellations and Rescheduling

Rescheduling requests must be submitted at least forty-eight (48) hours prior to the scheduled installation.

Rescheduling is granted at the discretion of BlackGuard LLC.

Failure to attend a scheduled session without prior notice may result in forfeiture of payment.

7. Chargebacks

By engaging in a BlackGuard™ OS installation, the licensee acknowledges:

Services are digital, advisory, and proprietary in nature;
Delivery constitutes access to protected governance infrastructure;
Completed installations are non-returnable and non-refundable.

Improper or fraudulent chargebacks may be contested using executed agreements, session records, delivery confirmations, and platform documentation.

8. Relationship to Licensing Policy

This policy operates alongside the BlackGuard™ OS Licensing Policy and any executed written agreement.

In the event of conflict, the executed written license agreement controls.
